Luis Peyser - Partner

Luis has over 20 years of experience advising asset managers, investment banks, and institutional investors in the capital and real estate markets. His practice includes transactions involving hybrid capital and debt operations, securitizations, structured funds (REITs, FIAGROS, and FIPs), complex urban and rural real estate transactions, and sophisticated disputes. He has worked on billion-dollar transactions involving financing, acquisition, and development of urban and rural assets, including several prominent assets (trophy assets) and large pulp and paper industries, as well as complex negotiations of build-to-suit, sale and leaseback, and exchange contracts, up to the structuring of projects and financing of various types for developers and entrepreneurs. Luis is recognized as one of the most experienced lawyers in the Brazilian capital and real estate markets. He was a foreign associate at Debevoise & Plimpton LLP in New York and an Assistant Professor of Commercial Law at PUC/SP.

  • M&A and Regulatory - Acquisition of RBR Asset Management - Approximate value R$400 million

Advisory services to Patria Investimentos in the acquisition of the asset management firm RBR in Brazil, involving the transfer of assets under management totaling approximately R$6.5 billion.

 

  • JHSF Real Estate Investment Fund and Acquisition of Residential Property Portfolio – Approximate value R$5.2 billion

Advisory services in the structuring and public offering of a new real estate investment fund and the acquisition of all properties in JHSF's inventory (more than 500 residential properties), including several other ancillary agreements between JHSF and the REIT.

  • Real Estate Investment Fund (FII) of Caixa Econômica Federal - approximate value of R$800 million.

Structuring the Fund, public offering and negotiation of the Sale and Leaseback (SLB) of Caixa Econômica Federal buildings as a structure for CEF's deleveraging and cost reduction.

 

  • Real Estate Receivable Certificate (CRI) for the Hilton Copacabana Hotel – Approximate value R$300 million

Structuring the CRI (Real Estate Receivables Certificate) to leverage the acquisition of the Hilton Copacabana Hotel by a REIT managed by HSI Investimentos, a company within the Blackstone group.

 

  • Sale of Property and Debt Restructuring - Faria Lima Plaza Building – Approximate value R$380 million

Sale of a stake in a real estate investment trust (REIT) in the Faria Lima Plaza building, one of the most emblematic buildings on Avenida Brigadeiro Faria Lima in the city of São Paulo (Trophy Asset), and restructuring of existing debt.

 

  • Acquisition of GTIS Logistics Real Estate Portfolio – Approximate value R$1.4 billion

Advisory services to the HGLG11 Fund in the structuring, public offering, and acquisition of all portfolio assets of logistics real estate (4 logistics parks) of the Real Estate Investment Fund of the foreign asset manager GTIS, traded on the stock exchange, and transfer of all shareholders from the selling fund to the acquiring fund.

 

  • Acquisition of Successpar's Income-Generating Real Estate Portfolio – Approximate value R$400 million

Advisory services to the HGRU11 Fund in the structuring, public offering, and acquisition of all income-generating real estate portfolio assets (14 assets) of a Successpar fund traded on the stock exchange, and the transfer of all shareholders from the selling fund to the acquiring fund. 

 

  • Acquisition of rural properties – Approximate value R$600 million

Structuring an investment vehicle and acquiring thousands of hectares of rural properties for the construction of Suzano's Cerrado project pulp mill in Brazil.

 

  • Acquisition of rural properties and structuring of investment vehicles – Approximate value R$1 billion

Structuring an investment vehicle, acquiring thousands of hectares of rural properties, and negotiating usage rights with a pulp and paper industry in the Southern Region of Brazil.
